NEUCO.COM TERMS OF ACCESS AGREEMENT
This Terms of Access Agreement contains the terms between you and Neuco, Inc. regarding your use of the
neuco.com website ("Neuco.com" or "Site"). Please carefully read the following terms of access. By accessing and
using Neuco.com, you hereby agree to be bound by the terms. It is your responsibility as the user, customer, or
prospective customer to read all terms and conditions before proceeding to use this site. This Agreement is
effective as of February 1, 2021.
From time to time Neuco may update these terms. Your use of Neuco.com after any changes to these terms are
posted constitutes your agreement to those changes. You agree to review these terms periodically to ensure that
you are familiar with the most recent terms of access.
NEUCO INTELLECTUAL PROPERTY
All content on Neuco.com, including, but not limited to, the e-commerce platform, search engine, product
descriptions, part numbers, product photographs, cross reference database, technical documents, instruction
manuals, equipment model breakdowns, graphics, video, audio, html, source code, screenshots, text, digitally
downloadable files, trademarks, logos, promotions and slogans, is the property of Neuco or its vendors, and is
protected in the U.S. and internationally under trademark, copyright, and other intellectual property laws.
You agree not to download, republish, display or otherwise capture for use any Neuco.com content in any
publications, in public performances, or on websites or applications for any unpermitted commercial use in any
manner that is likely to cause confusion, that disparages or discredits Neuco and/or its vendors, that dilutes the
strength of Neuco's or its vendors' intellectual property, or that otherwise infringes Neuco's or its vendors'
intellectual property rights. You agree not to use screen scraping, data mining, data extraction, web harvesting or
similar technologies to download any Neuco.com content.
You are restricted from duplicating or distributing any Neuco.com content to others, whether or not for payment.
You may not modify, copy, frame, cache, sell, publish, transmit, display or otherwise use any portion of Neuco.com
content without written consent from Neuco.
DISCLAIMER OF WARRANTIES
We provide the information on Neuco.com using a commercially reasonable level of care, but there are certain
things that we do not promise about our Services.
OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OF SERVICE, NEITHER WE NOR OUR AGENTS MAKE ANY
SPECIFIC PROMISES ABOUT THE INFORMATION CONTAINED ON NEUCO.COM. SOME JURISDICTIONS PROVIDE FOR
CERTAIN WARRANTIES, LIKE THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, WE EXCLUDE ALL WARRANTIES.
EXCEPT WHERE PROHIBITED, NEUCO SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL,
CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SITES OR ANY THIRD PARTY'S USE
OF THE SITES. THESE EXCLUSIONS INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST DATA,
COMPUTER FAILURE, OR THE VIOLATION OF YOUR RIGHTS BY ANY THIRD PARTY, EVEN IF NEUCO HAS BEEN
ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE
CLAIM IS BASED.

Neuco.com may contain links to third-party websites. We do not, however, control or endorse those websites, or
any goods or services sold on those websites.
If you do not comply with this Agreement, we may or may not take action right away. Regardless, Neuco reserves
all rights to suspend or terminate your access to Neuco.com at any time and delay by Neuco does not constitute a
waiver of those rights.
This Agreement is governed by and construed in accordance with the laws of Illinois, without regard to its conflict
of laws rules. You expressly agree that the exclusive jurisdiction for any claim or dispute under these Terms and or
your use of the Neuco.com resides in the courts located in DuPage County, Illinois, and you further expressly agree
to submit to the personal jurisdiction of such courts for the purpose of litigating any such claim or action. If it turns
out that a particular provision in these Terms is not enforceable, that will not affect any other provision.
CONSENT
If you are found to be violating any of these terms, your Neuco.com web account will be subject to immediate
termination, with or without notice.
If you do not expressly agree to these terms and conditions, you may not access or use Neuco.com.
